Arcora Coaching Services Agreement

BETWEEN:

Arcora Inc., a corporation governed by the laws of Manitoba (“Arcora”)

AND

The Client (the “Client”)

1. Definitions

For the purposes of this Agreement:

• “Coaching” means goal-focused conversations and support aimed at enhancing personal or professional effectiveness. Coaching is not therapy, counselling, or medical treatment.
• “Client” means the individual or organization purchasing the Services.
• “Session” means a scheduled one-hour coaching meeting delivered virtually.
• “Coach” means the certified professional providing the Services on behalf of Arcora. 

2. Service

Arcora agrees to provide virtual growth-oriented coaching sessionsto the Client or their designated employee(s), focused on workplace and personal growth (“the Services”). Each coaching package includes a set number of one-hour sessions, to be used within 12 months from effective date of purchase. Unused sessions expire after 12 months and are non-transferable and non-refundable.  

3. Term & Renewal

The agreement commences on the effective date for an initial term of one year and automatically renews for successive one-year periods, unless terminated in accordance with this agreement. Arcora may provide notice of renewal and any updated pricing or schedule changes (“Price Notice”) at least 30 days before the end of the current term, which shall apply upon renewal. The Client may terminate the agreement at the end of the term by providing written notice within 15 days of receiving the renewal notification or Price Notice. If no Price Notice is issued, the agreement renews automatically under the same terms.

4. Fees and Payment

Fees are shown at checkout and charged by credit card through Arcora’s online storefront. Applicable taxes (GST/HST/PST) will be added at time of payment. Sessions must be paid in full in advance. Missed or cancelled sessions with less than 24 hours’ notice are forfeited.

5. Confidentiality

All information shared during coaching sessions is strictly confidential and will not be disclosed to any third party without written consent, except as required by law (e.g., risk of harm, legal obligation). Arcora may collect and use anonymized data (without identifying individuals) to improve services and evaluate outcomes.

6. Personal Information and Privacy

Arcora collects limited personal information necessary to deliver coaching services (e.g., name, contact details, and session notes). Personal information is stored securely in password-protected systems and retained only as long as necessary to fulfill the purposes for which it was collected. Arcora complies with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA). Clients may request access to, correction of, or deletion of their personal information by contacting Arcora in writing.

7. Independent Relationship

Arcora and the Client are independent parties. This agreement does not create an employment, partnership, or agency relationship between them.

8. Liability

To the extent permitted by law, Arcora’s total liability for any claim related to the Services will not exceed the total amount paid by the Client for the applicable sessions. Arcora is not liable for indirect or consequential losses.

9. No Guarantee of Outcomes

Coaching is a collaborative process that depends on the Client’s engagement and commitment. Arcora makes no guarantee of specific results or outcomes.

10. Electronic Communication

The Client consents to receive electronic communications related to coaching services, including scheduling links, reminders, invoices, and follow-up materials.

11. Governing Law

This Agreement is governed by the laws of the Province of Manitoba, Canada.

12. Intellectual Property

Coaching materials are for your personal use only. They may belong to Arcora or third parties and can’t be shared, copied, or used commercially without permission.

13. Acceptance

By purchasing or booking coaching services through Arcora’s storefront, the Client acknowledges that they have read, understood, and agree to the terms of this Services Agreement.
